Terms of Use

By using heralded.ai ("the site"), the Heralded application, or purchasing a Heralded product, you agree to these Terms of Use. If you do not agree, please do not use them.

These Terms govern your use of the site and application and your Heralded product purchases. They do not govern consulting or managed services we deliver under a signed engagement; those are covered by the relevant Master Services Agreement, Statement of Work, or other signed contract.

These disclosures are provided under Art. 5 of Legea 365/2002 on electronic commerce and Art. 74 of Legea 31/1990 on companies.

The site explains Heralded's AI visibility products and links to the Heralded application. Browsing the site, using the application, and purchasing a Heralded product are subject to these Terms and any additional purchase terms shown at checkout.

Browsing the site, reading our content, submitting your email to us, or booking a call with us does not itself purchase a product or form a consulting engagement. Product purchases are formed through checkout; consulting engagements are agreed separately, in writing, and signed by both parties.

Heralded Snapshot credit packs are purchased by your organization and spent from its shared credit pool. Unused credits are refundable within 30 days of purchase on email request. Spent credits are non-refundable.

Failed scans automatically refund their credit to the organization's pool. Credits backing in-progress scans are held from the pool and non-refundable while the scan is in progress; if the scan fails, the credit is automatically restored and becomes refundable again under these terms.

Refunds for unused credits are calculated at the per-credit purchase price: `pack_price / pack_credit_count`. For example, the refund for 9 unused credits from a 10-credit pack is `9 × (pack_price / 10)`.

Credits do not expire. If we discontinue the Snapshot, we will refund the organization's outstanding credits at the per-credit purchase price within 60 days of the discontinuation notice.

All Heralded Snapshot prices are stated exclusive of VAT. VAT is applied at checkout where required. A VAT invoice is issued for every purchase.

If Heralded is acquired or the Snapshot API undergoes breaking changes, the organization's outstanding credits remain valid for 12 months from notice.

You may cancel a Heralded subscription at any time. Cancellation takes effect at the end of the current paid period, and access continues through that period. We do not prorate subscription charges or provide partial refunds for an unused part of a paid period, except where required by law or when a material failure prevents you from using the paid service and we cannot remedy it within a reasonable time. If account controls are unavailable, email hello@heralded.ai from the address tied to your account.

The Refund Policy restates these rules in one place. If the two copies ever differ, these Terms control.

All content on the site (the copy, visuals, diagrams, logos, the Heralded name and wordmark, the underlying source code, and the arrangement of these elements) is owned by Growth Path Agency S.R.L. or licensed to us.

We grant you a non-exclusive, non-transferable, revocable licence to view the site for personal use and for legitimate evaluation of our services.

You may quote short excerpts of our content in good-faith commentary, news, or academic work with attribution to Heralded. You may not copy substantial portions of the site, mirror it, use our brand or logo in a way that suggests endorsement, or use the content to train machine-learning models without our prior written permission.

You agree not to:

Scrape, harvest, or index the site or application at rates or volumes that disrupt normal operation for other visitors or our infrastructure.

Attempt to bypass any technical protection, rate limit, or access control.

Upload or transmit malware, exploits, or automated abuse.

Reverse-engineer or decompile the site beyond what the publicly served code permits.

Use the site or application to infringe any third party's rights or to violate any applicable law.

Impersonate any person or entity, including by submitting a false email address or misrepresenting your affiliation.

The site and application integrate with third-party services including Vercel and BotID (hosting and abuse prevention), Amazon Web Services SES (email delivery), Railway (application and database hosting), Stripe (payments), and Google when you choose to connect a Google service. The email application and analytics are self-hosted.

We do not control these services and are not responsible for their content, availability, or data practices. Your use of any third-party service is governed by that provider's own terms and privacy policy.

The site, application, and Heralded products are provided "as is" and "as available". To the maximum extent permitted by Romanian law, we disclaim all warranties — express or implied — including fitness for a particular purpose, merchantability, non-infringement, and uninterrupted availability.

Content on the site is for general information. It is not legal, financial, tax, regulatory, or other professional advice, and it is not a substitute for advice from a qualified adviser. Results referenced in case studies, research, or examples on the site are illustrative; results in your situation may differ materially.

To the maximum extent permitted by Romanian law, Growth Path Agency S.R.L., its owner, its employees, and its agents are not liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the site or application or your purchase of a Heralded product — including loss of profits, data, goodwill, or business opportunity — even if we were advised of the possibility.

Our aggregate liability to you for direct damages arising from the site, application, or a Heralded product purchase is limited to the greater of 100 RON or the amount you paid us for Heralded products in the 12 months before the event giving rise to the claim.

Nothing in this section excludes or limits our liability for harm caused by fraud (dol), intent, gross negligence (culpă gravă), or any other liability that cannot be excluded under Art. 1355 of the Romanian Civil Code or other mandatory Romanian or EU law.

We may update these Terms from time to time. When we do, we update the effective date below.

Material changes are flagged at the top of the page for a reasonable period after the update. Your continued use of the site or application after the effective date means you accept the updated Terms.

These Terms, and any dispute arising from or relating to them, your use of the site or application, or a Heralded product purchase, are governed by the law of Romania, without regard to its conflict-of-laws rules.

The competent courts at our registered office in Bucureşti have exclusive jurisdiction over any such dispute.

If you are a natural-person consumer resident in another EU member state, mandatory consumer-protection rules in your country of residence continue to apply to the extent they grant you additional rights.

We aim to meet Web Content Accessibility Guidelines (WCAG) 2.2 Level AA.

If you encounter an accessibility issue on the site — a page that does not render correctly in a screen reader, a colour-contrast issue, a keyboard-navigation block — email hello@heralded.ai and we will look into it.
